Terms of Service

These Terms of Service ("Terms") govern your access to and use of AgentZig, operated by Sukhani Digital LLC ("AgentZig," "we," "our," or "us"). By accessing or using the platform, you agree to be bound by these Terms. If you do not agree, do not use the service.

1. Description of Service

AgentZig is a marketing and advertising automation platform. With your authorization, it connects to advertising, social, and communication accounts you own — including Google Ads, Meta (Facebook and Instagram), Amazon Ads, TikTok, Pinterest, Slack, Gmail, and Microsoft Outlook — and allows you to:

• Create, modify, pause, and report on advertising campaigns
• Generate advertising creative, including text, images, and video, using automated and AI-assisted tools
• Publish content to connected social accounts
• Route notifications and send email through connected accounts
• Configure automation rules that act on your accounts within limits you set

AgentZig acts on your behalf and under your direction. You remain the advertiser and account owner of record for every connected account.

2. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3. Your Responsibilities

You are solely responsible for all content created, published, or distributed through your connected accounts using AgentZig, including content generated with AgentZig's automated or AI-assisted tools. You agree that:

• You have the legal right and authorization to connect each third-party account and to publish through it
• You own or have licensed all rights in any material you upload, including images, video, trademarks, and brand assets
• You will review generated content before publication where your configuration permits review
• You will comply with all applicable laws and with the terms, policies, and advertising standards of every connected platform

4. Acceptable Use and Prohibited Content

You may not use AgentZig, or any content generated through it, to create, publish, or distribute:

• Non-consensual intimate imagery, including synthetic or AI-generated depictions of identifiable individuals in intimate or sexual contexts, whether or not the depiction is represented as real
• Sexually explicit material, or any sexual content involving minors
• Content depicting or facilitating child sexual abuse or exploitation
• Synthetic media depicting identifiable individuals without their consent, including deceptive likeness, voice, or deepfake content
• Content that harasses, defames, threatens, or incites violence against any person or group
• Content promoting hatred or discrimination on the basis of race, ethnicity, national origin, religion, disability, age, sex, sexual orientation, or gender identity
• Malware, phishing, fraudulent offers, or deceptive commercial claims
• Content that infringes any copyright, trademark, publicity right, or other intellectual property right
• Content that violates any applicable law or the policies of any connected platform

AgentZig's content generation tools are intended solely for the production of commercial advertising and marketing creative. Any attempt to use them to produce the material listed above is a material breach of these Terms.

We may suspend or terminate accounts for violations of this section without notice, and may report unlawful content to the appropriate authorities.

5. AI-Generated Content

AgentZig uses automated and AI-assisted systems to generate advertising creative. You acknowledge that:

• Generated content may be inaccurate, and you are responsible for reviewing it for accuracy, legality, and compliance before publication
• You are responsible for any disclosure of AI-generated content required by law or by the platform where it is published
• We do not warrant that generated content is free of third-party rights

6. Third-Party Integrations

AgentZig integrates with third-party services through their official APIs. By connecting an account you acknowledge that:

• We store encrypted OAuth tokens in order to act on your behalf, and you may revoke access at any time from the Integrations page or directly through the third-party platform
• Your use of each third-party service remains subject to that service's own terms
• We are not responsible for changes, outages, or policy decisions by third-party platforms that affect functionality

Google Ads. Your use of AgentZig's Google Ads features is additionally subject to the Google Ads API Terms and Conditions, the Google APIs Terms of Service, and Google Ads advertising policies. AgentZig's use and transfer of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements. You remain responsible for the compliance of campaigns and creative published to your Google Ads accounts.

Shopify. Connecting a Shopify store installs the AutoCPG app, which reads the store's products, inventory, locations, orders and fulfillments, and can publish products and set their stock. Uninstalling the app from your Shopify admin ends that access immediately.

Your customers' personal data. When a connected store or account holds personal data about your customers, you are responsible for that data and we process it on your behalf, as your service provider, only to provide the Service as these Terms and our Privacy Policy describe. We keep it confidential and limit access to personnel who need it; protect it with the measures in Section 6 of the Privacy Policy; never sell it or use it for advertising; delete it as Section 6.2 of the Privacy Policy describes, or sooner at your request; tell you without undue delay if a security incident affects it; and help you answer your customers' requests to access or delete their data. Our hosting and infrastructure providers process it for us under obligations no less protective than these.

7. Advertising Spend

You are responsible for all advertising spend incurred in your connected accounts, including spend resulting from automation rules you configure. AgentZig does not hold, process, or pay for your advertising spend; billing remains between you and each advertising platform. You are responsible for setting and monitoring budget limits.

8. Intellectual Property

You retain ownership of content you upload and of creative generated for your account. You grant us a limited licence to process, store, and transmit that content solely to provide the service. AgentZig retains all rights in the platform itself.

9. Limitation of Liability

AgentZig is provided "as is" without warranties of any kind. To the fullest extent permitted by law, AgentZig shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including loss of data, revenue, advertising spend, or third-party account suspension.

10. Indemnification

You agree to indemnify and hold harmless Sukhani Digital LLC against any claim arising from your use of the platform, the content you publish through it, or your breach of these Terms.

11. Termination

You may close your account at any time. We may suspend or terminate your account if we determine you have breached these Terms, particularly Section 4, or are using the platform in a manner that could harm other users or third-party services.

12. Governing Law

These Terms are governed by the laws of the State of North Carolina, United States, without regard to conflict of law provisions.

13. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last Updated" date and notify users of material changes by email or in-app notice. Continued use after changes take effect constitutes acceptance.
